Acceptance of Terms
By accessing and using KumoArc Studio's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
These terms apply to all visitors, users, and others who access or use our services, including but not limited to consultation requests, project engagements, and digital product purchases.
Service Description
KumoArc Studio provides creative design services, consultation, digital templates, and related professional services. Our services include but are not limited to brand identity design, web development, portfolio creation, and strategic consultation.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
Project Agreements and Scope
All project work is governed by separate project agreements that outline specific deliverables, timelines, and terms. These project agreements supplement and are subject to these general terms of service.
Changes to project scope must be agreed upon in writing and may result in additional fees and timeline adjustments.
Payment Terms and Pricing
Payment terms vary by service type and are specified in individual project agreements. Generally, project-based work requires a 50% deposit before commencement, with the remainder due upon completion.
Retainer services are billed monthly in advance. Digital products are paid in full at the time of purchase. All prices are in Japanese Yen unless otherwise specified.
Intellectual Property Rights
Upon full payment, clients receive ownership of final deliverables created specifically for their project. KumoArc Studio retains the right to display completed work in portfolios and marketing materials unless otherwise agreed.
Pre-existing intellectual property, templates, and methodologies remain the property of KumoArc Studio. Digital products are licensed for use according to their specific license terms.
Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, and necessary materials for project completion. Delays caused by client non-responsiveness may result in project timeline extensions.
Clients must ensure they have the right to use any materials they provide and indemnify KumoArc Studio against any claims related to such materials.
Revisions and Modifications
Project agreements specify the number of included revision rounds. Additional revisions beyond the agreed scope will be charged at our standard hourly rate.
Major changes to project direction or scope may require a new project agreement and additional fees.
Cancellation and Refunds
Either party may terminate a project agreement with written notice. In case of cancellation, clients are responsible for payment of work completed to date plus any non-refundable expenses incurred.
Digital products are non-refundable once downloaded. Consultation fees are non-refundable once the session has been conducted.
Confidentiality
We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without explicit client consent.
Clients are expected to maintain confidentiality regarding our business processes, methodologies, and any proprietary information shared during our engagement.
Limitation of Liability
KumoArc Studio's liability is limited to the total amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages.
We make no warranties regarding the performance or results of our services beyond what is explicitly stated in project agreements.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.
In such cases, affected timelines will be extended by a reasonable period to account for the delay.
Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes will be subject to binding arbitration under Japanese law.
These terms are governed by the laws of Japan, and any legal proceedings shall take place in the courts of Kanagawa Prefecture.
Website Usage
You may use our website for lawful purposes only. You agree not to use the site in any way that could damage, disable, or impair the site or interfere with any other party's use of the site.
We reserve the right to terminate access to our website for any user who violates these terms.
Updates to Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on our website with the revision date. Continued use of our services constitutes acceptance of any changes.
For significant changes, we will provide reasonable notice to existing clients through email or other appropriate means.
